Terms of Service

By creating an account, accessing, or otherwise using the JustClose Service (the "Service"), you ("Customer", "you") agree to be legally bound by these Terms of Service (the "Terms") and our Privacy Policy. If you do not agree, do not use the Service.

If you accept these Terms on behalf of a company or organisation, you represent that you have authority to bind that entity, and "you" refers to that entity.

JustClose is a multi-tenant Software-as-a-Service application providing:

• Customer-relationship management (contacts, deals, notes).
• Form builder & landing pages for lead capture.
• Workflow automation engine (event-driven, multi-step).
• Unified conversation inbox across SMS, email, WhatsApp, Facebook Messenger, and Instagram DMs.
• Integrations with Meta (Lead Ads, Conversions API), Twilio, Postmark, Stripe.
• Calendar & appointment booking, document signing, opportunity pipelines.

We may improve, modify, or discontinue features at any time, with reasonable notice for material changes that affect paying customers.

JustClose supports a two-tier account structure:

• Agency account — the primary tenant that owns the Stay Active CommV subscription and manages a Meta App, billing, team members, and any number of sub-accounts.
• Sub-account (workspace) — a logically isolated workspace created by an Agency to serve one end-customer of theirs. Each sub-account has its own contacts, conversations, forms, and automations, fully separated at the database query layer.

You are responsible for:

• Maintaining the confidentiality of your password and access credentials.
• All activity that occurs under your account.
• Notifying us immediately of any unauthorised use at [email protected].

Subject to your continued compliance with these Terms and timely payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during the term of your subscription.

The Service is licensed, not sold. We retain all rights, title, and interest in and to the Service, including all related intellectual property — see § 09.

You agree NOT to:

• Use the Service for any illegal, fraudulent, or abusive purpose.
• Send spam, unsolicited communications, or content that violates anti-spam laws (CAN-SPAM, GDPR Art. 7, eIDAS, e-Privacy Directive).
• Use the Service to harass, defame, or violate the privacy of any individual.
• Send messages outside the consent and timing windows imposed by the underlying channel (e.g. Meta's 24-hour Messenger window, WhatsApp template requirements).
• Attempt to reverse-engineer, decompile, or otherwise extract source code, except where such restriction is prohibited by law.
• Resell, sublicense, or white-label the Service to your own customers without a written agency-tier agreement.
• Circumvent rate limits, security controls, tenant boundaries, or attempt to access data of other Customers.
• Upload viruses, malware, or content infringing third-party intellectual property.
• Use the Service to compete with us or build a substantially similar product.

Violations may result in immediate suspension or termination per § 10.

You retain ownership of all data and content you submit to the Service ("Customer Data"), including contact records, messages, forms, files, and workflow configurations.

You grant Stay Active CommV a worldwide, royalty-free licence to host, process, transmit, and display Customer Data solely as necessary to provide and improve the Service, comply with law, and respond to support requests. We do not use Customer Data to train models, sell to third parties, or for marketing outside your account.

You represent and warrant that you have all rights necessary to upload and process the data you put into JustClose, including consent from your end-customers where required by GDPR and applicable e-marketing regulations.

JustClose integrates with third-party services. Your use of those integrations is also subject to the third party's own terms:

• Meta — Facebook Lead Ads, Messenger, Instagram DMs, Conversions API. Governed by Meta Platform Terms and developer policies.
• Twilio — SMS & WhatsApp messaging. Governed by Twilio's Acceptable Use Policy and WhatsApp Business Solution terms.
• Postmark — email delivery. Governed by Postmark's Terms.
• Stripe — payments. Governed by Stripe Connected Account Agreement.
• Cloudflare — custom domain SaaS hosting.

We are not responsible for the availability, accuracy, or behaviour of these third-party services. If a third party imposes a deprecation, policy change, or rate limit, we will adapt the Service but cannot guarantee uninterrupted functionality of dependent features.

Subscription fees, billing intervals, and any usage-based charges are displayed at sign-up or in your account dashboard.

• Trial periods — where offered, auto-convert to paid at the end of the trial unless cancelled.
• Recurring billing — charged in advance to the payment method on file via Stripe.
• Taxes — fees are exclusive of VAT/BTW; we apply the applicable rate based on your billing country.
• Late payment — accounts with overdue invoices may be suspended after 14 days; access restored upon payment.
• Refunds — except as required by mandatory consumer-protection law, fees are non-refundable.
• Price changes — we announce price increases at least 30 days before the next billing cycle they would apply to.

All rights, title, and interest in and to the Service, including all software, source code, designs, trademarks ("JustClose", the forge-bolt logomark), documentation, and aggregated analytics, are and remain the exclusive property of Stay Active CommV.

Feedback you provide about the Service may be used by us without obligation or compensation to you, but we will never claim attribution of your business name or use it in marketing without your prior consent.

By you

You may cancel your subscription at any time from your dashboard. Your access continues until the end of the current billing period. After cancellation, your data remains exportable for 90 days, after which it is permanently deleted.

By us

We may suspend or terminate your access immediately and without notice if you:

• Violate § 05 (Acceptable use).
• Fail to pay overdue fees more than 30 days.
• Bring the Service into legal jeopardy (e.g. provoke a Meta policy violation that risks our app review status).
• Are subject to economic sanctions or appear on a restricted-party list.

In case of suspension, we'll attempt to give 24-hour notice unless immediate action is required to protect the platform or other customers.

We do not warrant that the Service will be error-free, secure against all unauthorised access attempts, or that defects will be corrected within any specific time. We do not guarantee that any third-party integration will continue to function as Meta, Twilio, or any other provider changes their APIs.

In no event will we be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, lost data, loss of business opportunities, or business interruption, even if advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability that cannot be excluded under Belgian or EU consumer-protection law.

You agree to defend, indemnify, and hold harmless Stay Active CommV, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your use of the Service in violation of these Terms.
• Customer Data you upload or transmit through the Service.
• Your violation of any third-party right, including privacy, publicity, or intellectual property.
• Your violation of applicable law (notably GDPR, e-Privacy, Meta's Platform Terms).

These Terms are governed by the laws of Belgium, excluding its conflict-of-law principles.

For Customers acting in a business capacity, any dispute arising out of or related to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Antwerp, Belgium.

For Customers qualifying as consumers under EU law, mandatory consumer-protection rules of your country of residence continue to apply. The European Commission's online dispute resolution platform is available at ec.europa.eu/consumers/odr.

We may revise these Terms from time to time. Material changes will be announced via email to all active account holders at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree, your remedy is to cancel your subscription before the effective date.

The version number and effective date at the top of this page always reflect the currently published version.
